We collaborate closely with the Legal function and colleagues worldwide, supporting AstraZeneca PLC’s Board, Board Committees, and Senior Executive Team. Our team manages stock exchange listings, corporate disclosures, Group subsidiary companies, financings, annual reports, and corporate transactions. Typical Accountabilities:
As a Corporate Governance Manager, you will report to the Company Secretary and your ongoing responsibilities include:
management of Group subsidiaries
maintaining the Group structure chart
supporting intra-group transactions
management of restricted persons and insider lists, and supporting on other matters associated with Market Abuse Regulations
supporting production of AstraZeneca’s Annual Report
supporting the annual Director and Officers’ liability insurance renewal process
liaising with Group Treasury and managing KYC requests
supporting on the quarterly and annual litigation disclosures
managing documentary due diligence for the US Form 20-F filing, and other ad hoc projects including bond issuances
assisting with document execution requests, including arranging notarization and legalization
Essential for the role:
At least 4 years of corporate governance, company secretarial, or legal experience coupled with a desire to expand your skill set as you quickly adapt to a new team and new organization
Pragmatic with an ability to switch your focus between detailed technical matters and a broader “big picture” approach
Proven record of ability to take on and prioritize multiple workstreams while being comfortable working in a fast-paced environment.
Excellent interpersonal and communication skills and ability to work to high standards of accuracy.
Collaborative and keen to share knowledge with and learn from other team members, and represent the team to internal and external stakeholders
Desirable for the role:
Company secretarial or other legal/ governance qualification (obtained or partially completed)
Listed company experience and a good knowledge of the associated regulatory requirements
Governance experience and working knowledge of UK corporate governance regime or similar
An understanding of the regulatory requirements for listed companies
Experience managing global subsidiaries and insider lists
Experience working with subsidiary management software
